Valens GroWorks Corp. (CSE: VGW) (the “Company” or “Valens”), a biotechnology company specializing in the production, research, development and commercialization of novel, cannabinoid-based products and drug therapies, is pleased to announce the closing of its first tranche of offering. This is 207,500 units (the “Units”) for proceeds of $207,500, and it’s the first tranche of its non-brokered private placement to raise up to $500,000 at a price of $1.00 per Unit (the “Offering”) as announced on October 25, 2017.

An insider participated for 110,000 Units representing $110,000 in cash. The Company intends to use the proceeds of the Offering for ongoing plant expansion costs including additional growing and oil extraction capacity at existing facilities, and for general corporate purposes.

Closing of the first tranche of Offering is subject to a number of conditions, including receipt of all necessary corporate and regulatory approvals, including the CSE. All securities issued pursuant to this private placement are subject to a hold period expiring four months and one day from the date of issuance.
